SERVICE AGREEMENT

1. PARTIES

This Service Agreement (“Agreement”);

Service Provider: Mert Can CANKAYA (Tax No: 2010538998), Atatürk Mah. 3200 Sok. No: 14/3 Saray / Tekirdağ, info@zeonika.com, 0544 999 8050 (“Zeonika”)

and

Customer: The real or legal person who requests service through the Zeonika website or purchasing process and declares their identity and contact information (“Customer”)

comes into effect with the Customer’s electronic approval and/or payment.

2. DEFINITIONS

  • Package: Subscription-based website service plans offered by Zeonika (Digital Showcase, E-Commerce, Global).
  • Setup: Preparation of the WordPress-based site in the staging environment according to Customer information.
  • Staging: Preview address in the format `{slug}.zeonika.com`.
  • Live Site: The website directed to the Customer’s own domain name.
  • Billing Period: Monthly or annual payment period.

3. SUBJECT OF THE AGREEMENT

Zeonika provides domain, hosting, SSL, theme setup, AI-supported content production, technical maintenance, and 24/7 support services within the selected Package. Setup is free.

4. SERVICE PACKAGES AND FEES

All prices include VAT.

Package contents are defined in the comparison table on the zeonika.com/prices page. WooCommerce, PayTR or iyzico, BirFatura or Paraşüt, and cargo integration are set up in E-Commerce and Global packages. The Global package includes additional language, multi-currency, and international SEO.

5. SETUP AND SERVICE PROCESS

5.1. The Customer provides business information and preferences to Zeonika. 5.2. Zeonika prepares the site in the staging environment within 24 hours at the latest. 5.3. After Customer approval, the site is directed to the live domain name. 5.4. Live panel training is provided during setup.

6. PAYMENT AND BILLING

6.1. Payment is made in advance monthly or annually. 6.2. Zeonika issues an invoice related to the payment. 6.3. The payment method and schedule are specified on the purchase screen.

7. DURATION AND TERMINATION

7.1. There is no minimum commitment period. The Customer can cancel their package at any time. 7.2. Cancellation is effective at the end of the paid billing period; service continues until the end of the period. Details are available on the Refund and Cancellation Policy page. 7.3. Zeonika may suspend or terminate the service in case of non-payment, breach of contract, or legal obligation.

8. DOMAIN, HOSTING, AND TECHNICAL INFRASTRUCTURE

8.1. Domain (.com / .com.tr) and hosting are registered and managed in the name of Zeonika during the service period. 8.2. Hosting is provided on Germany-based Hetzner infrastructure, with SSL certificate and Cloudflare DNS integration. 8.3. The Customer has the right to use the domain and hosting during the service period; ownership remains with Zeonika.

9. TRANSFER AND SEPARATION

9.1. If the Customer wishes to take over the domain name or transfer it to another provider when terminating the service, the domain transfer process is carried out in exchange for one month’s fee of the current package. 9.2. The same one-month package fee applies for transferring site files to another server (transfer service). 9.3. Transfer requests are communicated in writing via info@zeonika.com.

10. CUSTOMER OBLIGATIONS

10.1. Ensuring that the declared information is accurate and up-to-date. 10.2. Having legal usage rights for uploaded images and content. 10.3. Keeping WordPress panel passwords confidential. 10.4. Not uploading content that violates laws.

11. ZEONIKA OBLIGATIONS AND SUPPORT

11.1. Providing services within the scope of the selected Package. 11.2. Server maintenance, security updates, and backup. 11.3. Providing 24/7 technical support. 11.4. Preparing site content during setup; teaching panel usage with live training; updates such as adding images and products to be done by the Customer; ensuring accessibility through 24/7 technical support and WhatsApp technical support line.

12. INTELLECTUAL PROPERTY

12.1. Zeonika themes and software infrastructure belong to Zeonika. 12.2. Logos, texts, and images provided by the Customer belong to the Customer. 12.3. When the service ends, the Customer can request their content; transfer conditions are specified in Article 9.

13. PROTECTION OF PERSONAL DATA

Personal data is processed under the Personal Data Protection Law No. 6698. Details are available in the Privacy Policy and Cookie Policy. The Customer agrees to have read these policies.

14. LIMITATION OF LIABILITY

14.1. Zeonika is not responsible for damages arising from Customer-sourced content, third-party service interruptions, or force majeure. 14.2. Zeonika’s total liability is limited to the service fee paid by the Customer in the last 12 months.

15. PRICE CHANGES

Zeonika may increase package prices once a year, limited to the previous year’s CPI rate + 20%. Changes are notified at least 30 days in advance via email or website announcement. If the Customer does not accept the increase, they may terminate the agreement at the end of the billing period.

16. PAYMENT DELAY

If the due payment is not received, Zeonika informs the Customer. If payment is not made, the site may be taken offline 30 days later, and site data on the server may be deleted. It is the Customer’s responsibility to prevent data loss.

17. FORCE MAJEURE

Events beyond the control of the parties, such as natural disasters, war, pandemics, or infrastructure provider interruptions, are considered force majeure; obligations are suspended during this period.

18. DISPUTE RESOLUTION

This Agreement is subject to Turkish law. In case of disputes, Tekirdağ Courts and Enforcement Offices are authorized.

19. EFFECTIVENESS

The Customer is deemed to have accepted this Agreement by checking the “I have read and accept the Service Agreement” box on the purchase screen and/or making a payment. When Zeonika updates the agreement, the updated text is published on the website; the version in effect is the text at the time of purchase.
